2024 Woodmoor Proxy Form

I/We, whose address is as stated in this form, being a member/members of Woodmoor Homeowners Association, Inc., a Mississippi non-profit corporation, do hereby appoint Rachel E. Cox, Management Agent of the Association, as my/our attorney and agent for me/us, and in my/our name, place, and stead to vote as my/our Proxy at the Annual Meeting of Members of Woodmoor Homeowners Association, Inc., to be held Parkway Baptist Church, Clinton, MS, at 7:00 PM on Tuesday, April 16th, 2024, and at any adjournment thereof.

My/Our said attorney and agent shall have full power and authority to vote as my/our Proxy on all matters which may come before the said Annual Meeting of Members, including the election of Directors. My/Our said attorney and agent shall have the power of substitution to delegate another person as Acting Management Agent and my/our attorney and agent in the event that unforeseeable circumstances prevent the Management Agent from attending the Annual Meeting of Members and so long as record of this substitution, should it be necessary, is recorded in the official minutes of the Annual Meeting of Members.

I/We am/are executing this Proxy in accordance with the provisions of Section 79-11-221 of the Mississippi Code of 1972, as amended, and of Article IV, Section 11 of the By-Laws of the Association.
